The LLP business structure was created in the 1980s and has since been accepted in all United States jurisdictions. This business structure protects a partner against liability for wrongful conduct of other partners, according to Fundamentals of Business Organizations for Paralegals by Deborah Bouchoux, published in 2004. However, each state’s law varies as to what extent a LLP protects a partner from personal liability lawsuits and obligations.
Partial Shield States
Partial shield states only offer partial protection from personal liability in the partnership. These states protect partners from personal liability for wrongful acts or omissions committed by other partners. However, partners are still held responsible for partnership obligations in partial shield states. This includes contractual obligations, such as lease obligations or bank loans.
